In her landmark new book, The Making of the Modern Company, Prof. Susan Watson argues that legal personhood attaching to an entity containing a corporate fund seeded by shareholders, and existing in perpetuity, is a direct and inevitable consequence of limited liability and the company’s status as a separate legal entity from its shareholders. In this special roundtable discussion, leading experts on corporate governance and theory will examine and debate Prof. Watson’s key claim in the light of both historical developments and contemporary challenges.
Speaker: Prof. Susan Watson
Susan Watson is Dean of the Business School and holds joint chairs in the Faculty of Law and Faculty of Business and Economics, at the University of Auckland, New Zealand.
Discussants: Prof. Carsten Gerner-Beuerle and Dr David Gindis
Carsten Gerner-Beuerle is Professor of Commercial Law and Vice Dean (Research) at UCL Laws.
David Gindis is an Associate Professor at Hertfordshire Business School.
