About the talk

Iris Chiu and Anna Donovan will speak on their new paper which explores the effect that corporate regulation has on changing corporate culture and behaviour. Corporate regulation is increasingly targeted at the internal procedures and governance at companies, and we critically discuss what such regulation is able to achieve, using case studies from anti-bribery and financial regulation.

Professor Jennifer Payne will lead an extended discussion on the ideas in the paper, in order to tease out the promises and limitations of corporate regulation as a form of procedural legalisation.

About the speakers

Iris Chiu is Professor of Corporate Law and Financial Regulation at UCL and co-Director of the UCL Centre for Ethics and Law. She joined UCL in September 2009 after having previously taught at the School of Law, King’s College London and the University of Leicester. She was a legislative draftsman and State Counsel at the Attorney-General’s Chambers in Singapore prior to joining academia. She is the author of three solely authored monographs and various publications including journal articles and jointly authored books. Her most recent book is The Legal Framework for Internal Control at Banks and Financial Institutions.

Anna Donovan is a Lecturer in Laws at UCL and Co-director of the Faculty’s Centre for Ethics and Law.  Anna joined UCL In September 2014 and teaches courses on company law, corporate governance and corporate social responsibility. Prior to UCL, Anna was a senior corporate solicitor in London, specialising in corporate restructuring and governance where she advised boards extensively on their corporate governance obligations. Anna is also admitted to the bar in New York. Anna’s research interests are in corporate law and governance, most recently looking at the interplay between corporate compliance, market integrity and regulatory design.

Jennifer Payne is Professor of Corporate Finance Law and a fellow and tutor at Merton College, Oxford. She teaches courses on company law, corporate finance law, corporate insolvency law and principles of financial regulation.  She writes widely in the field of corporate law in leading journals and edited collections. Her recent books include Principles of Financial Regulation (OUP, 2016) (with John Armour, Dan Awrey, Paul Davies, Luca Enriques, Jeff Gordon and Colin Mayer); The Oxford Handbook of Financial Regulation (OUP, 2015, with Niamh Moloney and Eilis Ferran); and Corporate Finance Law: Principles and Policy (2nd edition 2015, with Louise Gullifer). Jennifer is currently a member of the European Security and Markets Authority (ESMA)’s Securities and Markets Stakeholders Group. She is also a member of the Consultative Working Group of ESMA’s Corporate Finance Standing Committee.
